PROTECTION OF NATURE AND ANIMAL RIGHTS

Chapter I.
General provisions
§ 1

1. The name of the Association is - the Association of the Guard for the Protection of Nature and Animal Rights.
2. The seat of the Association is: ul. Kościuszki 11C, 14-120 Dąbrówno.
3. The area of activity of the Association is the Republic of Poland.
4. In order to pursue its statutory goals, the association may operate in other countries, respecting local law.
5. The association is bound for an unlimited period. It has legal personality. It operates pursuant to the provisions of the Law on Associations (Journal of Laws of 1989, No. 20, item 104, as amended) and this statute.
6. By the decision of the General Meeting of Members, the Association may cooperate with other associations and institutions in accordance with applicable law. affairs, the association may employ employees, including members of the association.
7. The Association may use signs and seals in accordance with applicable regulations.
8. The activity of the Association is based primarily on the voluntary work of its members. To conduct its affairs, the association may employ employees, including members of the association.

 

CHAPTER II
Purpose of the Association and means of action
§ 2

The aim of the association is:
1. Broadly understood help for homeless animals and animals staying in an animal shelter.
2. Spreading humanitarian education in cooperation with schools of all levels, kindergartens, and veterinary clinics.
3. Charity assistance to indigent people who have animals by purchasing food, financing treatment and surgery of these animals, as well as chipboarding.
4. Animal protection and enforcement of the Animal Protection Act through cooperation with the Police, Municipal Police and other state authorities.
5. Promoting the provisions on the protection and rights of animals as well as the rules for dealing with animals, with particular emphasis on the care of animals in shelters.
6. Shaping the right attitude of people towards animals.
7. Promoting the idea of nature and ecology restoration.
8. Promotion and organization of volunteering.
9. Intervention activities within the framework of applicable law, by prosecuting and disclosing crimes against animals and representing the rights of an animal as a victim to justice.

§ 3

The Association pursues its goals through free public benefit activities:
1. Conducting propaganda campaigns through the mass media, as well as publishing own materials aimed at the protection of animals.
2. Organizing meetings with children and young people in schools and in shelters in order to shape the idea of peaceful coexistence of all living creatures, promoting the principles of respect for other creatures, their right to live without hunger, thirst and suffering. In this regard, the Association cooperates with educational authorities, as well as local government bodies, acting for the broadly understood humanitarian education and raising children and youth with respect for all living creatures.
3. Undertaking preventive actions in the field of animal protection and taking an active attitude in combating the manifestations of cruel handling with animals, as well as cooperation with the competent authorities of state administration in the prosecution of those guilty of cruel handling of animals and applying for their punishment, and in order to counteract pathologies social that leads to animal abuse.
4. Activities for the organization of a network of shelters for animals and their management in agreement with the relevant local authorities.
5. Taking the initiative to state authorities in issuing regulations concerning the care of animals.
6. Initiating and supporting activities in the field of animal protection and care and environmental protection.
7. Presenting initiatives in the area of issuing regulations on animal rights and participating in the creation of related legal acts.
8. Carrying out activities aimed at reducing the population of homeless animals.
9. Establishing shelters for animals and running them on one's own and activities aimed at creating shelters for homeless animals and running them in a commissioned form.
10. Organizing and conducting veterinary activities and temporary care.
11. Supporting scientific and research works aimed at animal protection and care.
12. Cooperation with institutions and other social organizations dealing with environmental protection, in particular with animal protection.
13. Organizing cultural and entertainment events to promote the idea of animal protection and humane treatment, and to promote the idea of environmental protection.

§ 3a

The Association may conduct free public benefit activities in the following areas:
1. Actively in the field of observance of animal rights, etc.

Combating signs of bullying, defending them and helping them: homeless animals - treatment, feeding, purchase of necessary equipment for their functioning in nature, domestic animals - financial and material assistance for people who have animals, who are in a particularly difficult situation. material or life situation in relation to the rest of society (subsidies for treatment, sterilization, castration, etc. and the purchase of food).

§ 4

The Association may conduct paid activities in the following areas:
1. to combat, protect and help animal abuse;
2. active activities in the field of observance of animal rights;
3. exercising supervision and control over compliance with regulations and laws in the field of animal protection and the environment, including cooperation with competent institutions in the field of animal protection;
4. cooperation with competent institutions in the field of disclosure of crimes and offenses related to animal rights;
5. launching initiatives in the area of issuing regulations on animal rights and participating in the creation of related legal acts;
6. carrying out activities aimed at reducing the animal population;
7. implementation of the animal identification and registration program as well as storage and distribution of medical materials related to animal protection, including animal identifiers;
8. creating shelters for homeless animals and running them on one's own, and activities aimed at creating shelters for homeless animals and running them in a commissioned form;
9. organizing and conducting veterinary activities, temporary care;
10. taking preventive measures in the field of animal protection and environmental protection;
11. carrying out propaganda and publishing activities in the field of animal protection and environmental protection;
12. carrying out extensive educational activities in the field of animal protection and environmental protection;
13. cooperation with educational institutions in the field of educating children and adolescents in the spirit of humane treatment of animals;
14. support for scientific and research works aimed at the protection of animals and the care of animals;
15. cooperation with institutions and other social organizations dealing with environmental protection, in particular animal protection;
16. cooperation with national, foreign and international institutions and organizations dealing with the protection of animals and the environment;
17. organizing cultural and entertainment events to promote the idea of animal protection and their humane treatment, and to promote the idea of environmental protection.

§ 4a

For the implementation of statutory objectives including public benefit activities, the Association may conduct paid activities in the following areas:
1. to combat, protect and help animal abuse;

§ 5

1. The Association may run a business according to the general rules specified in separate regulations. The income from economic activity serves the purposes of the Statute and may not be distributed among its members.

Chapter III
Members- rights and obligations
§ 6

1. Natural and legal persons may be members of the Association. A legal person may only be a supporting member of the Association.
2. The Association has members:
a. ordinary,
b. supporters,
c. honorary.
3. An Ordinary Member of the Association can be any natural person who submits a membership declaration in writing.
4. An Ordinary Member of the Association may be a citizen of another country who does not have a permanent residence address in the territory of the Republic of Poland.
5. An ordinary member becomes a member after submitting a written declaration on the basis of a resolution of the Board of the Association adopted not later than within two months from the date of submitting the declaration.

§ 7

1. A supporting member of the Association may be a natural and legal person declaring financial, material or substantive assistance for the implementation of the Association's goals. A legal person operates in the Association through its representative.
2. A supporting member becomes after submitting a written declaration on the basis of a resolution of the Board of the Association adopted no later than within two months from the date of submitting the declaration.

§ 8

1. An honorary member of the Association may be a natural person who has made an outstanding contribution to the activities and development of the Association.
2. Honorary members are admitted by the General Meeting at the request of 10 members of the Association.

§ 9

1. Ordinary members have the right to:
a.actively participate in elections to the authorities of the Association,
b. use the achievements, property and all forms of activity of the Association,
c. participate in meetings, lectures and events organized by the Association,
d. submit motions regarding the activities of the Association.

2. Ordinary members are obliged to:
a. participate in the activities of the Association and the implementation of its goals,
b. obey the statute and resolutions of the Association's authorities,
c. regular payment of contributions.

3. Supporting and honorary members do not have passive and active voting rights, however, they may participate in an advisory capacity in the statutory authorities of the Association, and otherwise have the same rights as ordinary members.

4. A supporting member is obliged to fulfill the declared benefits, observe the statute and resolutions of the Association's authorities.

5. Honorary members are exempt from membership fees. Honorary members are obliged to observe the Articles of Association and the resolutions of the Association's authorities.

§ 10

Membership is forfeited as a result of:
a.written resignation submitted to the Management Board,
b. exclusion by the Management Board:
• due to breaking the statute and failure to comply with the resolutions of the Association's authorities,
• due to notorious non-participation in the work of the Association,
• due to non-payment of contributions for a period of six months,
c. loss of civil rights under a valid court judgment,
d. death of a member and loss of legal personality by legal persons.

§ 11

1. The interested party has the right to appeal to the General Meeting of Members within 30 days from the notification of the refusal to be admitted as a member, removal or exclusion from the resolution of the Management Board on admission as a member of the association or termination of membership. The resolution of the General Meeting of Members is final.

CHAPTER IV
Association authorities
§ 12

1. The authorities of the Association are:
a. General Meeting of Members,
b. the Management Board,
c. Audit Committee.
2. The term of office of the Management Board and the Audit Committee is 4 years.
3. The highest authority of the Association is the General Assembly of Members.
4. Resolutions of all the authorities of the Association are passed in open voting. On the first date, by a simple majority of votes with at least half of the members entitled to vote present, on the second date (30 minutes later) by a simple majority of votes present, entitled to vote.
5. The resolution of the Management Board and the Audit Committee may be appealed against to the General Meeting of Members within one month from the date of adopting the resolution. The appeal is considered at the next meeting of the General Meeting of Members.

§ 13

1. The exclusive competence of the General Meeting of Members includes:
a.determining the program of activities of the Association,
b. considering the reports of the Management Board and the Audit Committee as well as granting or refusing to discharge the Management Board,
c. election for a four-year period and dismissal by secret ballot by a simple majority of votes of the President, members of the Management Board, and the Audit Committee,
d. examining appeals against decisions of the Management Board,
e. adopting resolutions on membership fees,
f. adopting the Articles of Association and its amendments,
g. on the purchase, sale, and exchange of real estate encumbrances,
h. setting the height
i. adopting a resolution to dissolve the Association.
2. The General Meeting of Members is held:
a. reporting - min. once a year,
b. election - every 4 years.
3. Extraordinary General Meeting of Members is called in particularly important cases. It may be done by the Association Board on its own initiative and at the request of the Audit Committee or at least 1/3 of the members of the Association.
a.the application must contain the proposed agenda,
b. the Extraordinary General Meeting of Members should be convened within 30 days from the date of submitting the request.
4. The notice of the General Meeting of Members, along with the order and draft resolutions, shall be sent to the members to the e-mail address provided by them no later than 7 days before the date of the General Meeting of Members.
5. The General Meeting of Members begins on the first date with the presence of at least 1/2 of the members entitled to vote, and on the second date after 30 minutes, regardless of the number of present and eligible members.
6. Resolutions of the General Meeting of Members are passed by a simple majority of votes.

§ 14

1. The Management Board is appointed to manage the entire activities of the Association in accordance with the resolutions of the General Meeting of Members and represents the Association outside.
2. The Management Board consists of 4 persons, from among whom, at the first meeting, it elects the President, Vice-President, Treasurer and Secretary.
3. The General Meeting of Members decides about the division of functions.
4. The Association is managed by the President, who may also delegate his powers to the Vice-President.
5. Meetings of the Management Board are convened by the President as needed, however not less frequently than once every three months. The members of the Management Board are notified in any effective way about the date, place and proposed agenda 7 days before the meeting on the first date, and 30 minutes later on the second date. Management Board resolutions are adopted by a simple majority of votes in the presence of at least half of the Management Board members.
6. The competences of the Management Board include:
a.implementation of the Association's goals,
b. implementing the resolutions of the General Meeting of Members,
c. preparation of work plans, regulations and budget,
d. managing the assets of the Association,
e. adopting resolutions on purchasing, selling or encumbering the assets of the Association,
f. representing the Association outside, concluding contracts, submitting other declarations of will, granting powers of attorney,
g. convening the General Meeting of Members,
h. admission, deletion and exclusion of members.

§ 15

1. The Audit Committee is appointed to control the activities of the Association and is not subordinate to the Management Board in the scope of its activities.
2. The Audit Committee consists of 3 people, including the chairman and two members.
3. The powers of the Audit Committee include:
a.controlling the activities of the Management Board,
b.submitting inspection requests at the General Meeting of Members,
c. the right to submit a request to convene the General Meeting of Members and the meeting of the Management Board,
d. submitting applications for a discharge for the Association's authorities,
e. submitting reports on its activities at the General Meeting of Members.
4. Meetings of the Audit Committee are held as needed, but not less frequently than once a year. The meetings of the Committee are convened by the chairman. The members of the Audit Committee are notified about the date, place and proposed agenda in any effective manner 7 days before the meeting on the first date, and 30 minutes later on the second date. Resolutions of the Audit Committee are adopted by a simple majority of votes in the presence of at least half of the members of the Management Board.

§ 16

1. In the case of a vacant place on the Board, the Board makes supplements from among members of the Association and presents it for approval at the next General Meeting. The number of co-opted members of the Management Board may not exceed 1/3 of the number of elected members.
2. In the event of a vacant seat in the Audit Committee, the Committee shall supplement it from among the members of the Association and submit it for approval at the next General Meeting. The number of co-opted Audit Committee members may not exceed 1/3 of the elected members.
3. Members of the Management Board and the Audit Committee may receive reimbursement of justified costs or remuneration for performing their function in such a body in the amount not higher than the average monthly remuneration in the enterprise sector announced by the President of the Central Statistical Office for the previous year.
4. To conclude contracts, grant powers of attorney and make other declarations of will, in particular in property and other matters, signatures are required - the President - alone or two members of the Management Board acting jointly.

CHAPTER V
PROPERTY AND FUNDS
§ 17

1. The property of the Association consists of its real estate, movables and funds.
2. The Association's funds consist of:
a.from membership fees,
b. subsidies, subscriptions, donations,
c. income from business activity,
d. donation and public donation.
3. The person authorized to open a bank account is the President, Vice President or the Treasurer independently.
4. The Association manages its finances in accordance with applicable regulations.
5. Decisions on the purchase, sale and encumbrance of the assets of the Association are made by the Board.
6. Membership fees (adopting them is the sole competence of the General Meeting of Members) are resolved in the amount of PLN 10 / year. Payments should be made to the indicated bank account of the Association or in cash to the Treasurer by the end of the first half of the year for a given calendar year. Upon a justified written request, the General Meeting of Members may postpone payments or grant an exemption from such contributions.

§ 18

1. It is forbidden to:
a. to grant loans or secure liabilities with assets of the organization in relation to its members, members of organs or employees as well as persons with whom members of organs and employees of the organization are married, cohabiting or in a collateral relationship or affinity up to the second degree, are related to adoption, care or guardianship, hereinafter referred to as "relatives",
b. transferring their property to their members, members of bodies or employees and their relatives, on terms other than in relation to third parties, in particular if the transfer is free or on preferential terms,
c. using the property for the benefit of members, members of bodies or employees and their relatives on terms other than in relation to third parties, unless this use results directly from the statutory purpose,
d. purchase of goods or services from entities in which members of the organization, members of its bodies or employees participate on terms other than in relation to third parties or at prices higher than market prices.

CHAPTER VI
Final Provisions
§ 19

1. The General Meeting of Members by a qualified majority of votes (two, a resolution on amending the statute and a resolution on dissolving the Association is taken by a third one), in the presence of at least half of the total number of members entitled to vote.
2. By adopting a resolution on dissolving the Association, the General Meeting of Members determines the manner of its liquidation and the purpose of the Association's assets.
3. In matters not covered by these statutes, the provisions of the Law on Associations shall apply.
